QUTRIT Terms of Service

These Terms of Service (hereinafter referred to as "these Terms") set forth the conditions for using the desktop application "QUTRIT" (hereinafter referred to as "the App"). By installing, launching, or using the App, the user is deemed to have agreed to these Terms.

1. Applicability and Definitions

  1. These Terms apply to all relationships related to the use of the App between the user and the App provider (hereinafter referred to as "the Provider").
  2. The definitions of terms in these Terms are as follows:
    • Self-Serve Mode: A mode where the user registers and uses their own API key (e.g., Pro Plan).
    • Managed Mode: A mode where the user can use the App without an API key, utilizing an API key managed by the Provider (e.g., Standard Plan).
    • External AI Services: Refers to Google Gemini API and OpenAI API.
    • Input: Text, files (such as PDFs), etc., that the user enters, uploads, or designates for reading in the App.
    • Output: Responses, summaries, code, etc., generated by External AI Services.

2. Positioning of the App (Purpose of Use)

  1. The App is a tool primarily intended for professional and business use (productivity improvement, research, idea generation, writing assistance, etc.) by engineers, researchers, and business professionals.
  2. The App is not an official product provided by the External AI Service providers (Google / OpenAI) but is an application independently developed and provided by the Provider.

3. Eligibility (Age Restriction)

  1. By using the App, the user represents and warrants that they are 18 years of age or older.
  2. Individuals under the age of 18 are not permitted to use the App or register API keys.

4. Account and Authentication

  1. Authentication via Firebase Authentication or similar methods may be required to use certain features of the App.
  2. Users must appropriately manage their account information and shall not transfer, lend, or share it with third parties.
  3. The Provider shall not be responsible for any use by third parties resulting from the user's inadequate management.

5. Plans, Fees, and Payment

  1. Payments for paid plans (Pro / Standard, etc.) are processed through payment service providers such as Stripe.
  2. Cancellation is possible at any time, but in principle, no pro-rata refunds will be made (except where a refund obligation arises by law).
  3. Important Matters for Self-Serve Mode
    • Separate from the App's usage fees, usage fees may be incurred on the External AI Service side. Users are responsible for managing their own usage limits and billing.
  4. Limitations of Managed Mode (Standard, etc.)
    • For reasons of fairness, fraud prevention, and cost management, the Provider may set caps on token usage, etc., within a certain period and may restrict usage when these caps are exceeded.

6. Important Matters Regarding Use of External AI Services

  1. The App transmits data to External AI Services to process Inputs. Users shall comply with the terms and policies of the External AI Services.
  2. Managed Mode (Provider's API Key / Use of Relay Server)
    • In this mode, the connection to External AI Services is made via a relay server managed by the Provider (Google Cloud Run, etc.) for the purpose of authentication and API key injection.
    • The Provider's API keys are safely stored and operated under the Provider's management and are not directly disclosed to the user's device or frontend (utilizing Google Cloud Secret Manager, etc.).
  3. Self-Serve Mode (User's API Key / Direct Communication)
    • Communication is made directly from the user's device to the External AI Services. Since the data does not pass through the Provider's servers, it is technically impossible for the Provider to view or store the chat content.
    • Management, costs, and usage conditions of the API key registered by the user are the user's responsibility.
    • Especially with Gemini, data handling may differ in the Free Tier (Unpaid Services), such as input data potentially being used for improvement purposes. Please avoid entering confidential information and use Paid Services (billing enabled) as necessary.
  4. Note for Users in the EEA (European Economic Area), UK, and Switzerland (Self-Serve Mode Only)
    • Due to Gemini's terms of use, users in the EEA, UK, and Switzerland may be required to use the service under paid conditions (Paid Services). Applicable users are responsible for checking the contract conditions and using an appropriate API key.
    • The Provider cannot guarantee whether the API key used by the user falls under Paid or Unpaid categories.

7. Feature-Specific Notes (PDF / Knowledge Base / Web)

  1. PDFs & Attachments: The contents of files attached or specified by the user are transmitted to External AI Services for response generation.
  2. Knowledge Base (RAG): Processing such as embedding generation is performed for document registration and search.
    • Due to the specifications of the App, External AI Services (e.g., OpenAI's Embedding API) may be used for embedding generation, and the content of registered documents will be transmitted to External AI Services.
  3. Web Search & URL Reading: The App may retrieve and summarize URLs or search results specified by the user. Users are responsible for complying with the rights and terms of use of third-party content.

8. Prohibited Acts

Users shall not engage in the following acts when using the App:

  1. Acts that violate laws, regulations, or public order and morals; criminal acts; or infringement of third-party rights.
  2. Acts that violate the terms or policies of External AI Services.
  3. Acts that cause excessive load on, interfere with, search for vulnerabilities in, or gain unauthorized access to the App or the Provider's infrastructure.
  4. Reverse engineering, decompiling, or analyzing source code.
  5. Buying, selling, transferring, lending, or sharing API keys, or acts that encourage such behavior.
  6. Acts of intentionally avoiding safety filters, rate limits, usage restrictions, etc.
  7. Acts of using the App's output or logs for the purpose of developing or training AI models that compete with External AI Services or the App.
  8. Impersonating the Provider or a third party, or registering false information.
  9. Other acts deemed inappropriate by the Provider.

9. Attribution of Rights (Intellectual Property)

  1. Intellectual property rights, including copyrights, related to the App belong to the Provider or legitimate rights holders.
  2. Users may use the App on a non-exclusive basis within the scope of these Terms.

10. Handling of Generated Content (Output)

  1. Attribution of rights and usage conditions for Output shall follow the terms of the External AI Services.
  2. Accuracy, completeness, and usefulness of the Output are not guaranteed. Users shall use it at their own risk and consult experts as necessary.

11. Disclaimer and Limitation of Liability

  1. External AI Services may contain errors (hallucinations). Do not use the App's output as the sole basis for important decisions regarding medical, legal, tax, investment/financial transactions, etc.
  2. The Provider does not warrant that the App is free from defects (including safety, reliability, accuracy, completeness, fitness for a particular purpose, etc.).
  3. Some or all of the App may become unavailable due to specification changes, suspension, or failure of External AI Services.
  4. Even if the Provider is liable (excluding cases of willful misconduct or gross negligence by the Provider), the amount of compensation shall be limited to the usage fees paid by the user in the past one month.

12. Suspension of Use and Deregistration

The Provider may restrict usage, suspend, or delete the registration of the App without prior notice if the user violates these Terms.

13. Changes to Terms

The Provider may change these Terms as necessary. The changed Terms shall take effect from the time they are made known by a method separately determined by the Provider.

14. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Japan, and the Tokyo District Court shall be the exclusive agreed court of first instance for any disputes regarding the App.

15. Language

In the event of any discrepancy between the Japanese version and the English version, the Japanese version shall prevail.
